AND -

The Dental HyGenius LLC

1732 Aviation Blvd Suite 560 Redondo Beach, CA 90277 (the “Developer").

BACKGROUND:

1. The Client is of the opinion that the Developer has the necessary qualifications, experience and abilities to provide services to the Client.
2. The Developer is agreeable to providing such services to the Client on the terms and conditions set out in this Agreement, this is the parties’ ENTIRE AGREEMENT on this matter superseding all previous negotiations or agreements.

IN CONSIDERATION OF the matters described above and of the mutual benefits and obligations set forth in this Agreement, the receipt and sufficiency of which consideration is hereby acknowledged, the Client and the Developer (individually the "Party" and collectively the "Parties" to this Agreement) agree as follows:

Services Provided

The Client hereby agrees to engage the Developer to provide the Client with services (the “Services”) consisting of Practice Development Consulting. These services will include analyzing Client needs and current business obstacles, identifying projects, scoping potential business solutions, including:
